I am the principal of the Law Offices of Gerald P. Gross, a sophisticated 13 year old boutique law firm specializing primarily in the negligence/personal injury, commercial litigation, and transactional areas of law. Our commercial litigation practice includes both complex and simple contract matters, including disputes regarding real estate contracts, buy/sell contracts, partnership agreements, shareholder agreements, operating agreements, etc. We have also successfully litigated wrongful employment termination actions, shareholder derivative actions and large collection/debtor credit cases. The venue of our cases has ranged from N.Y. Supreme Court (all counties) to Federal Court in the Southern & Eastern Districts. The firm's transactional practice is diverse. We handle all kind of sales and purchases of commercial and residential real estate including new construction/development, mortgage lending, multi unit apartment/office buildings, strip malls, single/multi family homes and commercial leases. The firm has represented numerous companies in obtaining asset backed financing and completing the legal documentation for same. We also actively negotiate buy/sell agreements and set up corporations, LLC's and partnerships with accompanying organizational documentation (shareholder/operating/partnership agreements).
