Matthew G. Wells is a shareholder at Ray Quinney & Nebeker P.C. in The Venture Practice. Matt joined the firm after spending seven years with Wilson Sonsini Goodrich & Rosati in its Palo Alto and Salt Lake City offices, where he completed more than 30 buy- and sell-side M&A transactions, 70 issuer- and investor-side preferred stock financings and 60 issuer- and lender-side convertible debt financings. His practice continues to focus on the representation of public and private technology companies and the investors that finance them. Matt has substantial transactional experience in business formation, venture capital financings, mergers and acquisitions, equity public offerings and general public company representation. Additionally, he has negotiated various intellectual property licenses, software development agreements and distribution agreements and regularly advises boards of directors on corporate governance and equity compensation matters. Prior to attending law school, Matt was a management consultant with International Technology & Trade Associates (ITTA) in Washington, D.C., advising multinational clients on cross-border technology investments and international strategy. He has lived in Germany and served internships with the U.S. House Committee on Ways and Means and the U.N.
