Steven Rubin

I received my BA from Univ of California at Irvine in 1983, my JD from Pepperdine in 1990 and my LL.M. in Tax from Georgetown in 1991. Practice areas include corporate law, real estate leases and transactions, and tax planning for non-publicly held companies, and litigation of business disputes. Areas of recent particular focus are (i) drafting of aggressively negotiated limited liability company operating agreements focusing on operational and management control issues, (ii) drafting of non-compete agreements in the narrow instances where such agreements are enforceable in California, (iii) counseling physicians regarding non-compete agreements in their employment agreements, (iv) purchasing minority interests in single asset real estate holding entities, and (v) stock and asset purchases agreements relative to the purchase and sale of non-publicly held businesses.
